Simple Trader Pro Course Participant Confidentiality, Non-Compete, Non-Solicitation, and Non-Disclosure Agreement

This Confidentiality, Non-Compete, Non-Solicitation, and Non-Disclosure Agreement ("Agreement") is made effective on the date the student begins the course, by and between Simple Trader Pro ("Company"), and the undersigned participant ("Participant"). This Agreement pertains to the participation in and use of proprietary and confidential training materials provided by the Company. The purpose of this Agreement is to prohibit the unauthorized disclosure of Confidential Information and restrict competition and solicitation for a duration of five years from the start date of the course. The Parties agree as follows:

  1. Definition of Confidential Information:

    • Confidential Information includes all proprietary data, trade secrets, and other information disclosed or made available to the Participant by the Company, including course materials, business strategies, customer lists, operational information, marketing information, pricing structures, methodologies, processes, and technological specifications.
  2. Obligations and Use of Confidential Information:

    • The Participant agrees to (i) maintain the confidentiality of the Confidential Information with no less diligence than that with which they protect their own confidential information, but in no case with less than reasonable care; (ii) not disclose such Confidential Information to any third party; (iii) use the Confidential Information solely for the purpose of participating in the Company’s courses.
  3. Non-Compete:

    • For a period of five years from the start date of the course, the Participant shall not directly or indirectly engage in any business that competes with the core business of the Company within any geographical areas where the Company operates.
  4. Non-Solicitation:

    • During the term of this Agreement and for five years thereafter, the Participant shall not solicit or induce any employee or consultant of the Company to terminate or breach an employment, contractual, or other relationship with the Company. Additionally, the Participant shall not directly or indirectly solicit business from any of the Company’s clients or customers obtained during the course of the training.
  5. Return of Materials:

    • Upon the conclusion of the course, or at the Company's request, the Participant shall return all materials containing Confidential Information received from the Company, and shall destroy all copies of such materials which were created or allowed by the Participant.
  6. Governing Law:

    • This Agreement shall be governed by and construed in accordance with the laws of the state of Florida, without regard to its conflict of laws principles.
  7. Amendment and Waiver:

    • No modification or waiver of any of the terms of this Agreement shall be valid unless in writing and signed by both Parties.

IN WITNESS WHEREOF, the Parties have executed this Agreement to be effective on the latter date signed below.
